Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Karl Dasher, Executive Vice President and Chief Investment Officer of SEI, will resign from SEI to pursue a new career opportunity in London. SEI has begun the process to appoint Mr. Dasher’s replacement.

 

Item 8.01. Other Events.

On Monday, December 10, 2007, the Company issued a press release declaring a dividend of $.07 (seven cents) per share. The cash dividend will be payable to shareholders of record on January 4, 2008, with a payment date of January 18, 2008. A copy of the press release is furnished as Exhibit 99.1 and incorporated in this Item 8.01 by reference.

Oaks, PA, December 10, 2007 – The Board of Directors of SEI Investments Company (NASDAQ:SEIC) today declared a dividend of $.07 (seven cents) per share. The cash dividend will be payable to shareholders of record on January 4, 2008 with a payment date of January 18, 2008.
